Nominee Directors in Singapore: What Business Owners Need to Know

Every company incorporated in Singapore must have at least one director who is “ordinarily resident” here, a requirement under the Companies Act. For foreign entrepreneurs without a Singapore-based co-founder, a nominee director is how this requirement gets met.

This guide explains what a nominee director is, who qualifies, what changed in 2025, and the legal duties every nominee carries, regardless of how passive their role appears.

What Is a Nominee Director?

A nominee director is a Singapore resident appointed to a company's board specifically to satisfy the local residency requirement under the Companies Act. They hold the title on record but typically have no role in day-to-day operations, strategic decisions, or access to company funds, which is why they are sometimes called “sleeping directors.”

The actual business owner retains full operational control. The nominee's function is purely to fulfil the statutory residency requirement for as long as the foreign owner does not have a qualifying resident director of their own.

Who Qualifies as a Nominee Director?

To serve as a nominee director, an individual must:

  • Be a Singapore citizen, Permanent Resident, or Employment Pass holder
  • Have a valid local residential address in Singapore
  • Be at least 18 years of age
  • Not be an undischarged bankrupt
  • Not be disqualified from acting as a director under the Companies Act

Important: The Rules Changed in 2025

Effective June 2025, under the Corporate Service Providers Act 2024, all commercial nominee director appointments must be arranged through an ACRA-registered Corporate Service Provider (CSP).

Under the new framework:

  • CSPs must conduct fit-and-proper checks on nominees before appointment
  • The nominee's status as a nominee director is now disclosed on the company's public ACRA business profile
  • The identity of the actual business owner behind the arrangement remains restricted and is accessible only to law enforcement
  • Only ACRA-registered CSPs may provide commercial nominee director services; individuals or unregistered firms may no longer do so

This change was introduced to strengthen anti-money-laundering (AML) safeguards and improve corporate transparency in Singapore.

Same Duties, Same Liability

Despite the passive nature of the role, a nominee director carries the same statutory duties and personal liability as any other director under the Companies Act. This is one of the most important things both nominees and the companies that appoint them need to understand.

A nominee director is legally responsible for:

  • Acting honestly and using reasonable diligence in the discharge of their duties
  • Ensuring the company meets its statutory filing obligations (Annual Return, tax returns, etc.)
  • Not allowing the company to trade while insolvent
  • Maintaining proper accounting records

Personal liability: Under the Companies Act, a director in breach of their statutory duties can be fined up to S$5,000 or imprisoned for up to 12 months. Broader compliance failures, such as late filings or allowing the company to trade while insolvent, can attract significantly higher penalties under other provisions of the Companies Act.

Register of Nominee Directors

Companies must maintain a Register of Nominee Directors (ROND) and file the relevant details with ACRA's Central Register. Any change to a nominee's particulars must be updated in the company's internal register within 7 days, and the change must be lodged with ACRA within 2 business days.

No Grace Period for Replacement

If a nominee director resigns without a replacement already in place, the company is immediately in breach of the local residency requirement. There is no buffer period. Directors can face personal liability for company debts and obligations incurred during the gap.

Always ensure a successor is confirmed and appointed before accepting a nominee's resignation.
